Entec Power and Utilities Company Limited (‘’ENTEC’’) was established on 23rd June 2008 under the laws of the Federal Republic of Nigeria having its registered office at No. 3 Obafemi Awolowo Way, Oke-Bola, Ibadan, Oyo State . Entec is set up for the purpose of developing, financing, operating, and owning gas transmission and distribution networks within its Gas Distribution Zone (“GDZ’’).
Entec has entered into a 20 years UJV with NGML for the supply of a contracted volume of natural gas via a pipeline network of over 117.10km with a capacity of 100mmscf/d from the city gate at Sagamu Interchange
to the Ogun to Oyo and Osun gas markets(GDZ).
Entec receives gas supply from the NGML-NIPCO UJV Line through its Above Ground Installation (AGI) and distributesto industrial customers within the Sagamu interchange axis connected to the pipeline network
infrastructure. Metering, pressure reduction of gas received from NGML are done at the AGI before transmitting to the customers.
A Pressure Reduction and Metering Station (PRMS) is installedatevery customer locationwhere pressure reduction tocustomer’s equipment requirement is done and metering for billing purpose.
Entec has safely operated the network since inception with neither accidents nor damage to the asset and environment, incorporating best industry practices of pipeline asset management and natural gas safety
standards. The industrial customersthat receives gas from Entec include Flex Films Africa PVT Ltd, and Nixin Paper Mill NIG LTD, and Fan Renewable Systems LTD.
Entec was incorporated as a tax-efficient company under the laws of Nigeria.
Applied for a gas distribution zone (GDZ) license for Sagamu interchange, Oyo and Osun gas markets.
Obtained a GDZ and executed an interim Gas Sale and Purchase Agreement was executed with NGML.
Entec raised N872M for the development and construction of 6km 12inches 100MMSFD gas transmission pipeline from NIPCO UJV line to Entec’s Metering station (Phase 1).
Executed off-take agreement and commence distribution of gas to two industrial customers within the Sagamu interchange axis. A UJV was executed between ENTEC andNGML
Commence the project development for 75.5km of 12 inches Gas Transmission Pipeline from Sagamu Interchange to Lead City University Location, Ibadan.
Commence the distribution of gas to Fan Renewable Systems LTD.
Entec has entered into a 20-year Unincorporated Joint Venture (UJV) with NNPC Gas Marketing Limited (NGML) to supply the contracted volume of natural gas. Under the UJV, NGML is responsible for the delivery of natural gas to the Delivery Point at the interconnection of NGML -NIPCO UJV Pipeline with Entec’s Metering station. The metering point is situated at Sagamu Interchange, Sagamu, Ogun State.

Powerchina is a leading provider of turnkey energy infrastructure solutions covering pipeline construction, power generation, and distribution. The firm recently was commissioned for rehabilitation and installation works that will add 300MW of capacity to the 760MW Kainji hydroelectric power (HEP) plant. Entec executed an agreement in 2021 with PowerChina for Pipeline EPC, Distribution O&M, and Generation EPC for various phases of the project. Clarke Energy is a UK based Company with the sole distribution franchise for GE Jenbacher engines in Nigeria, Europe, Asia and some African markets. Clarke Energy provides O&M services backed with dealer support from the Jenbacher factory. Scheduled servicing is carried out in line with Jenbacher’s recommendations. Ibadan IPP Limited intendsto enter an O&M agreement ith Clarke Energy to ensure service performance levels of the power plant are met.
NGML/Entec UJV has executed GSPA with customers such as Nixin Paper Mill, Flex Film, and FAN Renewable for the supply of gas via its 7km of 12 inches gas transmission infrastructure spanning from NGML/NIPCO UJV line feeding off from Escravos–Lagos Pipeline.
In advanced development is a gas fired power plant initial capacity of 90MW (1st Phase), which will be upgraded to 120MW (2nd Phase) and finally an
additional 250MW bringing the total generation to 460MW.
Entec’s project company, Ibadan IPP Limited will enter into a Power Purchase Agreement (PPAs) with identified offtakers for the supply of electricity from its
90MW power plant.
These customers include SUMAL, Lead City University, Procter & Gamble, Zartech, Altak Industries Limited, Henkel Nigeria (WAW).
A power distribution network within 3 industrial clusters covering up to 35KM combined.
Entec and/or its project company will enter into a facility agreement with commercial banks and/or financial institutions providing, arranging, insuring or guaranteeing all or part of the construction or permanent financing or other funding.
Sefton Fross has been mandated to review all Nigeria legal documents – PPA with credit-worthy off-takers, GSPA with NGML/Entec UJV, gas supplier, Land Lease
Agreement, Engine Supply Agreement, Generation EPC and O&M contracts, Distribution EPC and O&M contracts.
